DISTRIBUTION AGREEMENT
PARTIES:
- XXX XXX LIMITED (“SUPPLIER”), a company incorporated in Hong Kong, whose registered office is Suite XXX, XXX XXX Centre, XX XXX Road, Wanchai, Hong Kong,
- XXX XXX XXX S.L. (“DISTRIBUTOR”), a company incorporated in Spain, whose registered office is c/ XXX, 32, 08002 BARCELONA, SPAIN CIF XXXXX.
WHEREAS:
- The SUPPLIER and XXX XXX Limited (“XX”, a company incorporated in the People’s Republic of China) are both wholly owned subsidiaries of XXX INTERNATIONAL LIMITED. The SUPPLIER is currently engaged in, among other things, the business of designing, developing, manufacturing, exporting and distributing the “XXX” and “XXX” branded products to distributors and retailers for resale.
- The DISTRIBUTOR hereby acknowledges that XXX is the owner inter alia of all of the trademarks and/or trade mark applications referred to in Recital A hereof (and any registration issuing therefrom), as well as of the corresponding trade names, other distinctive signs and features and of the goodwill appertaining thereto including the Brand Marks (as hereinafter defined) and of the Know-How (as hereinafter defined) and has the right to grant the use of the foregoing intellectual property rights to the DISTRIBUTOR. The SUPPLIER will procure or cause to procure XXX to grant the SUPPLIER the right to use these intellectual property rights, being this understanding an essence of this agreement.
ACUERDO DE DISTRIBUCIÓN
PARTES:
- XXX XXX LIMITED (el “PROVEEDOR”), sociedad constituida en Hong Kong con domicilio social en Suite XXX, XXX XXX Centre, calle XXX 26, Wanchai, Hong Kong,
- XXX XXX XXX S. L. (el “DISTRIBUIDOR”), sociedad constituida en España con domicilio social en la calle XXX, 32, BARCELONA 08002, ESPAÑA CIF XXXXX.
EXPONENDOS:
- El PROVEEDOR y XXX XXX Limited (“XXX”, sociedad constituida en la República Popular China) son subsidiarias propiedad íntegra de XXX INTERNATIONAL LIMITED. El PROVEEDOR gestiona actualmente, entre otros, el diseño, desarrollo, fabricación, exportación y distribución de productos de marca “XXX” y “XXX” a distribuidores y minoristas para su posterior venta.
- El DISTRIBUIDOR reconoce a XXX como propietario de todas las marcas registradas y/o solicitudes de registro de marca a los que se hace referencia en el EXPONENDO A (y a cualquier registro de marca consecuencia de él). Asimismo, el DISTRIBUIDOR reconoce a WG como propietario de los nombres comerciales correspondientes, de cualquier signo o rasgo distintivo, así como del fondo de comercio relativo a estos. Esto incluye señas de identidad de marca (tal y como se define a continuación) y conocimientos (tal y como se define a continuación). Asimismo, XXX podrá conceder al DISTRIBUIDOR el uso de los derechos de propiedad intelectual acumulados hasta el momento. El PROVEEDOR obtendrá de XXX o hará lo necesario para que este le conceda el derecho a la utilización de los mencionados derechos de propiedad intelectual, siendo esto parte esencial de este acuerdo.
